Key Responsibilities

  1. Lead and manage a team of corporate secretarial professionals, providing coaching, technical guidance, and performance development to ensure service excellence and operational effectiveness.

  2. Oversee a portfolio of private limited, public-listed, and offshore companies, acting as a trusted advisor and primary liaison for corporate secretarial and governance matters.

  3. Manage the full spectrum of corporate secretarial services, including:

    • Company incorporations and registrations
    • Share allotments, transfers, and capital alterations
    • Striking-off applications and company closures
    • Corporate restructuring exercises
    • Rights issues, fundraising activities, and other corporate actions
    • Preparation of directors' and shareholders' resolutions
  4. Ensure timely preparation and submission of statutory filings and compliance documentation with ACRA, SGX (where applicable), and relevant regulatory authorities.

  1. Attend board meetings, committee meetings, and general meetings as required, and prepare accurate minutes, resolutions, and governance-related documentation.

  2. Provide clients with professional advice on corporate governance, Companies Act requirements, regulatory obligations, and best practices in corporate compliance.

  3. Monitor and ensure adherence to ACRA's RQI obligations, corporate governance standards, and regulatory requirements across assigned entities.

  4. Drive operational improvements through process enhancement initiatives, workflow optimisation, digitalisation, and effective utilisation of corporate secretarial software and compliance systems.

  5. Work closely with auditors, bankers, legal advisors, regulatory authorities, and internal stakeholders to facilitate corporate transactions, compliance reviews, and special projects.

  6. Support the development of junior team members through structured mentoring, technical training, and knowledge sharing to strengthen overall team capabilities.

Requirements:

  • Bachelor's Degree in Business, Law, Accountancy, Corporate Administration, or a related discipline.
  • ICSA, CSIS, or equivalent professional qualification will be highly regarded.
  • Minimum 6–8 years of corporate secretarial experience, with at least 2 years in a managerial or supervisory role.
  • Well knowledge of the Singapore Companies Act, ACRA regulations, corporate governance requirements, and SGX Listing Rules.
  • Proficiency in corporate secretarial and compliance platforms such as BizFile+, BizFinx, and other corporate governance systems is advantageous.
